EXCERPT FROM OUR GENERAL TERMS AND CONDITIONS OF SALE

  • 1. Scope of application – Professional clients only

    The website Lecadeaudentreprise.fr is exclusively for professional buyers acting within the scope of their business activity.

    The Buyer acknowledges and declares:

    • to have a SIRET number or a valid professional identification,

    • to be acting in a professional capacity,

    • that the provisions of the Consumer Code do not apply, particularly the right of withdrawal.

    2. Acceptance of the GTC

    The validation of an order, whether placed directly online or by quote, implies unreserved acceptance of these GTC.

    The Buyer's documents or purchase conditions cannot under any circumstances prevail.

    3. Two possible order methods

    The website Lecadeaudentreprise.fr offers two distinct ordering methods:

    3.1. "Online" orders – Immediate payment on the site (without quote)

    The process is as follows:

    1. The Buyer selects products.

    2. The Buyer pays for their order via the proposed payment methods.

    3. The order is immediately firm and final.

    4. No prior quote, no email exchange, no written validation is required.

    The sale is deemed concluded upon the order confirmation automatically issued by the website.

    In the case of personalized products, the Buyer must provide the necessary elements and validate a proof, without which the order cannot be produced or shipped.

    3.2. "By quote" orders

    The steps are as follows:

    1. The Buyer or Prospect submits a request via a form, a product page, or direct contact.

    2. Lecadeaudentreprise.fr issues a quote specifying price, quantities, conditions, and any technical fees.

    3. The order is formed only when:

      • the quote is accepted in writing (signature + "Bon pour accord" mention)

      • OR the order is paid on the site via a payment link associated with the quote

      • OR the order is paid by bank transfer or check.

    Any confirmed order is firm and non-cancellable, even if it results from a quote.

    The proof is mandatory for all customizations.

    4. Prices

    Prices are expressed excluding taxes (HT).
    The prices displayed on the site including taxes are for informational purposes.
    The Company may change its prices as long as an order has not been confirmed.

    5. VAT

    Goods are invoiced at the rate applicable on the delivery date:

    • 20% for objects and alcohol,

    • 5.5% for most food items.

    Any legal change applies automatically.

    6. Payment

    For online orders:

    Full payment is required at the time of order. No processing or shipping before receipt of payment.

    For orders by quote:

    Unless otherwise agreed, payment is required upon order, before manufacturing or shipping.

    Late payment

    In accordance with the law:

    • penalties: 3 × legal rate,

    • flat-rate compensation: €40 for recovery.

    7. Delivery

    7.1 Indicative nature of deadlines

    The deadlines provided are purely indicative.
    No delay, whatever its cause, gives rise to compensation.

    7.2 Transfer of risks

    Goods travel at the Buyer's risk, even in the case of "franco" delivery.

    7.3 Multi-recipients

    The Buyer acknowledges that:
    (i) They must provide complete and accurate addresses.
    (ii) Lecadeaudentreprise.fr is not responsible for address errors.
    (iii) Some shipments do not have tracking.
    (iv) Returned packages may be re-shipped against invoicing.
    (v) The postmark or deposit slip serves as proof.

    7.4 Pallets and bulky packages

    • Ground floor delivery only.

    • Upstairs delivery upon prior request, billed.

    • Non-compliant access ⇒ additional invoicing.

    8. Absence of right of withdrawal

    Since sales are made between professionals:
    ➡️ no right of withdrawal applies, including for online orders, even for a single product and even if it usually falls under mass consumption.

    All validated orders are final and non-cancellable.

    9. Damage, loss, defects

    In case of damage or loss, the Buyer must:

    • make precise reservations to the carrier upon delivery,

    • confirm them by registered mail with acknowledgment of receipt within 48 hours,
      otherwise, no claim can be processed.

    Lecadeaudentreprise.fr may require the return of the goods for expertise.
    No return is accepted without written agreement.
    Return shipping costs are borne by the Buyer.

    10. Product descriptions and characteristics

    Given the artisanal nature and supplies:

    • photos and texts are non-contractual,

    • possible variations in weight, dimensions, textures, or colors,

    • possible adjustments aimed at improving product quality.

    11. Retention of title

    Ownership is transferred only after full payment.
    Risks are transferred upon delivery to the carrier.

    12. Limitation of liability

    The site's liability is limited to the ex-tax amount of the order concerned.

    Excluded are:

    • financial losses,

    • operating losses,

    • commercial prejudice,

    • project delays,

    • indirect damages.

    13. Prohibition of resale

    Any resale without prior written agreement is prohibited.

    14. Commercial references

    Unless prior written objection, Lecadeaudentreprise.fr may cite the Buyer and present its achievements:

    • trade shows,

    • website,

    • social networks,

    • commercial documents.

    15. Applicable law and jurisdiction

    Sales are governed by French law.
    Disputes fall under the exclusive jurisdiction of the Commercial Court of Nanterre.
